This Agreement between the Company and or Publisher of this Job posting (“CLIENT”) and (“ARAB RECRUITERS"), an Egyptian Company located in Cairo, Egypt; consists of Standard Terms and Conditions ("Terms and Conditions").
This Agreement will be valid for only the particular Job posted on Arab Recruiters for which any applicants are received for Arab Recruiters while the Job is active and until if the job is deleted from Arab Recruiters before the applicants are received.
Arab Recruiters is an online recruitment marketplace for Client who is an “Employer” hiring for specific Job requisitions in their organization. Users in the marketplace who are the independent recruiters who refer people in their network for a particular job or Submit resume of the candidate as a potential hire. Arab Recruiters filters these candidates to the best of their abilities, and with regard to all applicable laws. In addition Arab Recruiters does not discrimination based on sexual orientation or gender identity.
APPLICANT IDENTITY CONFIDENTIALITY
Client agrees to keep confidential the identities and related information concerning applicants received through Arab Recruiters, to use the information solely for the purpose of Client’s consideration of these applicants for the Jobs posted on Arab Recruiters
It is understood by the Client that Arab Recruiters works on a contingency basis. Because the relationship is nonexclusive, the applicants surfaced could possibly be presented to more than one Client. If client has already received the applicant from a different source before receiving it through Arab Recruiters, then client can consider it as a lead from other source and ignore the application from Arab Recruiters.
For Full-Time Jobs, Client agrees to pay the “Recruiters FEE”, which is agreed by Client on website. Client accepts the Recruiters fee selected by while creation of the job posting on Arab Recruiters, within the Evaluation Period set as 30 days from the day of successful selection of candidate received for the job posted by client through Arab Recruiters.
GUARANTEE & EVALUATION PERIOD
30 Days Guarantee
For Full-Time Jobs, during the evaluation period of 30 Days after selection, for any reason if Offer Dropped by candidate or by the client, Client is liable for refund any Recruiters fee.
90 Days Condition
For Full-Time Jobs, During 90 Days after hiring date, for any reason if candidate voluntarily leaves or is discharged by the client, “Arab Recruiters” shall conduct a search for maximum of 3 Months in an effort to provide a replacement candidate who satisfies the needs of the Client and if “Arab Recruiters” fails to recruit a replacement candidate, The Client is eligible for refund of 40 % of the Recruiter Fees paid for this Job
EXPLANATION OF RECRUITERS FEE
The amount of RECRUITERS FEE is defined by the client at the point of creation of the Full-Time Permanent job posting on Arab Recruiters or as per this agreement under SECTION - RECRUITERS FEE .
JOB NOTIFICATIONS & ACTIONS REQUIRED
Client agrees to either take necessary actions of Select, Reject, Interview on the applications received through Arab Recruiters on the online application or co-ordinate the same with Arab Recruiters through email or phone communication, wherein actions to be taken through the web application is highest preferred.
RELATIONSHIP BETWEEN PARTIES
Arab Recruiter shall be an independent entity, and not an employee, in the performance of all obligations hereunder; and nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship between Arab Recruiters (or any of Arab Recruiter’s subcontractors) and Client.
All invoices raised will are payable with Net Terms of 15 days from the Date of Invoice.
For Full-Time Jobs, an Invoice will be raised on day of the Candidate Selection for each successful Candidate.
TERMS & TERMINATION.
Term This Agreement shall continue for a period of one (1) year from the date hereof, and is auto-renewed unless Client terminates
Client may terminate this Agreement, with or without cause, at any time immediately upon written notice to Arab Recruiters.
In the event of breach of any covenant, representation or warranty of either party, the other party shall have the right, but not the obligation, to terminate this Agreement immediately upon written notice to the breaching party. By exercising its option to terminate its obligations under this Agreement, a party shall not be deemed to have waived its right to damages for a breach previously committed by the other party.
The parties hereto agree to resolve all disputes arising hereunder in accordance with the following:
Negotiated Resolution If any dispute arises out of or relates to this Agreement or any alleged breach hereof, the party desiring to resolve such dispute shall deliver a written notice of the dispute, including the specific claim in the dispute (“Dispute Notice”) to the other party. The parties involved in the dispute shall meet at least twice within the thirty (30) day period commencing with the date of the Dispute Notice and in good faith shall attempt to resolve such dispute through negotiation.
Each party agrees to keep all disputes strictly confidential, except for disclosures of information in the ordinary course of business of the parties or by applicable law or regulation.
SPECIAL FEE SITUATIONS
If an Employer posts a job on Arab Recruiters, and hires a candidate for a position that the Employer did not post on Arab Recruiters, Arab Recruiters shall assess the fee for the job that Employer posted on Arab Recruiters
If a candidate responds to Employer’s Arab Recruiters posting but is not hired, and, within thirty (30) days, Employer hires this candidate for a job not listed on Arab Recruiters, Employer must pay the greater fee of (i) fifteen percent (15%) of the annual salary of job Employer previously posted, or (ii) Arab Recruiters’ fee if Employer had hired the candidate for the previously posted job.
If a candidate has applied for a job to an employer outside Arab Recruiters before the candidate was submitted through Arab Recruiters, the candidate is not deemed as a Arab Recruiters referral and Employer is not liable for Recruiters Fee payment on hire of this candidate.
Governing Law and Venue This Agreement shall be governed by and construed under and in accordance with the laws of Egypt without regard to its conflicts of law principles. Venue for any suit relating to this Agreement shall be in any court of competent jurisdiction in Cairo, Egypt
Assignment Contractor may not assign this Agreement to a third party without the prior written consent of Company. Any attempted assignment without the prior written consent of Company shall be null and void.
Prior Agreements Superseded This Agreement constitutes the sole agreement of the parties hereto with regard to contemporaneous understandings or written or oral agreements between the parties respecting the subject matter of this Agreement.
Waiver and Further Agreement Any waiver of any breach of any terms or conditions of this Agreement shall not operate as a waiver of any other breach of such terms or conditions or any other term or condition hereof nor shall any failure to enforce any provision hereof operate as a waiver of such provision or of any other provision hereof. Each of the parties hereto agrees to execute all such further instruments and documents and to take all such further action as the other party may reasonably require in order to effectuate the terms and purposes of this Agreement.
Notices All notices, requests, demands and other communications hereunder shall be in writing and shall be deemed to have been duly given if physically delivered, delivered by express mail or other expedited service or upon receipt if mailed, postage prepaid, via first class mail as follows: If Arab Recruiters: By Mail Building No.4, 158 Street, Maadi, Cairo, Egypt By Email - email@example.com

This Agreement is entered between ARAB RECRUITERS (herein “Arab Recruiters ”) and Independent Recruiter (herein “Recruiter”). Collectively, Arab Recruiters and Recruiter are “the Parties.” The purpose of this agreement is to allow Recruiter to make use of Arab Recruiter’s online recruitment platform and to define the rights and obligations of the Parties.
Recruiter must obtain consent of each candidate Recruiter submits for any position on Arab Recruiters. Recruiter must obtain the candidate’s consent to submit the candidate’s information for each job posting for which Recruiter seeks to submit the candidate. Submitting a candidate without the candidate’s consent will result in Recruiter’s forfeiture of any referral fee with respect to the candidate. If a recruiter submits a candidate for a position and the candidate is unavailable or uninterested in the position, Recruiter’s submission is void. If a Recruiter submits an excessive number of void ten (10) void submissions, Arab Recruiters may temporarily or permanently ban Recruiter from using Arab Recruiters. The number of void submissions and the timing thereof triggering a ban is within the sole discretion of Arab Recruiters, but if at any time recruiter has submitted a total of ten (10) void submissions, the recruiter may expect a permanent ban.

If a Recruiter (with a candidate’s consent) submits a candidate for a position on Arab Recruiters, the candidate is hired as a result of the submission, and the employer pays Arab Recruiters fee (as defined in Arab Recruiters standard Employer Agreement), the Recruiter is entitled to a Recruiter’s fee. Only the first Recruiter who submits a candidate for a particular position is entitled to the Recruiter’s fee. If the offer dropped within thirty (30) days of the candidate being Selected, the Recruiter does not earn a fee.
90 Days Condition
For Full Time Jobs, During 90 Days after hiring date, for any reason if candidates voluntarily leaves or discharged by the client, The Recruiter shall conduct a search for maximum of 3 months in an effort to provide a replacement candidate who satisfies the needs of the client and if the Recruiter fails to recruit a replacement candidate, Arab Recruiters is eligible for refund of 50 % of the paid fees to Recruiter for this Job
Full-Time: For full-time employment, the Recruiter’s fee is Sixty percent (60 %) of Arab Recruiters fee.
Recruiter’s fees are subject to adjustment from time to time upon thirty (30) days notice from Arab Recruiters.
Arab Recruiters agrees to pay Recruiter’s fee after 60 Days of selection date of Candidate, whether or not an invoice is generated. Payments may be electronic or by check.
Recruiter’s relationship with Arab Recruiters is that of an independent contractor.
In the case of any legal action taken to enforce any term of this agreement then the prevailing party will be entitled to recover all legal costs and fees associated with the action.
All notices, requests, demands or other communication required or permitted by the terms of this agreement will be in writing and sent to the concerned party to the agreement in a reasonable amount of time to be able to respond to such notice.
This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Agreement. This Agreement supersedes any prior written or oral agreements between the parties.
If any provision of this Agreement will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court find that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.
Any controversies or disputes arising out of or relating to this Agreement shall be resolved first by negotiation.
This Agreement shall be construed in accordance with the laws of Egypt
